Welcome to the website of the Colorado Hispanic Bar Association (“CHBA,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the CHBA website, member portal, forms, event registration tools, job board, mailing list features, and other online services that link to these Terms (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Eligibility and Authority
You may use the Services only if you are able to form a binding contract and comply with these Terms and applicable law.
If you use the Services on behalf of an organization, employer, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes both you and that entity.
2. Services and Permitted Use
CHBA provides the Services to support its mission and operations, including member engagement, event registration, communications, job postings, donations, sponsorships, and related activities.
Subject to these Terms, CHBA grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for lawful, personal, professional, informational, or organizational purposes related to CHBA and its activities.
You agree to use the Services only in a manner consistent with these Terms and all applicable laws, rules, and regulations.
3. Changes to the Services
We may modify, suspend, discontinue, or update any part of the Services at any time, with or without notice, including features, functionality, availability, or content.
We are not liable if any part of the Services becomes unavailable, is interrupted, or is changed.
4. Account Registration and Security
Certain features of the Services may require you to create an account, maintain a membership login, or provide registration information.
You agree to:
- provide accurate, current, and complete information;
- keep your login credentials confidential;
- maintain and promptly update your account information;
- accept responsibility for activities that occur under your account to the extent caused by your actions, omissions, or failure to safeguard your credentials; and
- notify CHBA promptly at admin@chba.net if you suspect unauthorized access to your account.
We reserve the right to suspend, restrict, or terminate accounts that contain materially inaccurate information, are used in violation of these Terms, or present security or operational concerns.
5. Membership, Registrations, Fees, and Payments
Certain Services may require payment, including membership dues, event registration fees, donations, sponsorships, job postings, or other charges.
By submitting payment information, you represent and warrant that you are authorized to use the payment method provided.
You agree that:
- fees and charges applicable to a transaction will be disclosed at the time of purchase, registration, or enrollment;
- if CHBA offers an automatically renewing membership or recurring payment option, the applicable renewal terms, cancellation method, and any required notices will be presented in connection with enrollment and confirmation;
- you are responsible for keeping your payment information current if you enroll in a recurring payment option; and
- CHBA may use third-party payment processors to handle transactions.
Except as otherwise stated at the time of payment or as required by applicable law, fees, dues, donations, sponsorship payments, and similar charges are non-refundable.
CHBA may change pricing, membership categories, benefits, or billing practices prospectively at any time.
6. Job Board and Listings
The Services may allow users, employers, firms, recruiters, or organizations to post or access job listings or related employment content.
By submitting a job posting or related content, you represent and warrant that:
- you have the right to post the content;
- the content is accurate and not misleading;
- the posting complies with applicable employment, anti-discrimination, and advertising laws; and
- the content does not violate any third-party rights.
CHBA does not guarantee the accuracy, completeness, quality, legality, or availability of any job listing, candidate, employer, or employment opportunity.
CHBA is not a party to any employment relationship, interview process, or hiring decision arising from use of the job board. Any interactions between employers and applicants are solely between those parties.
We reserve the right, but not the obligation, to review, edit, refuse, remove, or disable any job posting or related content at any time and for any reason.
7. User Content and Submissions
The Services may permit you to submit, upload, post, transmit, or otherwise provide content, including account information, member profile information, event registrations, job listings, form submissions, comments, messages, nominations, applications, or other materials (“User Content”).
You retain ownership of your User Content, but by submitting it through the Services, you grant CHBA a non-exclusive, worldwide, royalty-free license to host, store, reproduce, use, display, modify, format, distribute, and otherwise process that User Content as reasonably necessary to operate, administer, and provide the Services and CHBA’s related activities.
You represent and warrant that:
- you own or control all rights necessary to submit the User Content;
- the User Content is accurate to the best of your knowledge;
- the User Content does not violate applicable law or infringe, misappropriate, or otherwise violate any third-party rights; and
- the User Content is not defamatory, fraudulent, obscene, harassing, threatening, harmful, or otherwise objectionable.
CHBA may remove or disable User Content at any time, with or without notice, in its sole discretion.
8. Prohibited Conduct
You agree not to:
- use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- interfere with or disrupt the operation or security of the Services;
- attempt to gain unauthorized access to accounts, systems, or data;
- use bots, scrapers, crawlers, harvesters, or similar automated means to access or collect information from the Services, except as expressly authorized;
- upload, transmit, or distribute viruses, malware, malicious code, or other harmful material;
- use the Services to harass, threaten, defame, or harm any individual or entity;
- post inaccurate, misleading, discriminatory, or unlawful job listings or other content;
- reproduce, duplicate, copy, sell, or exploit any portion of the Services except as expressly permitted by CHBA; or
- use the Services in any way that could damage, disable, overburden, or impair the Services or interfere with any other user’s use of the Services.
9. Intellectual Property
The Services, including their design, layout, text, graphics, logos, compilations, software, and other content provided by CHBA, are owned by CHBA or its licensors and are protected by applicable intellectual property and other laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any part of the Services without CHBA’s prior written consent.
CHBA names, logos, marks, and related branding may not be used without CHBA’s prior written permission.
10. Copyright and Complaints
If you believe content available through the Services infringes your copyright or other rights, please contact CHBA at admin@chba.net with sufficient detail for us to review the issue.
CHBA reserves the right to remove allegedly infringing or otherwise unlawful content in appropriate circumstances.
11. Privacy
Your use of the Services is also subject to CHBA’s Privacy Policy, which is incorporated into these Terms by reference. To the extent there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy will control with respect to those practices.
12. Third-Party Services, Links, and Embedded Content
The Services may contain links to, integrations with, or embedded content from third-party websites, platforms, applications, payment processors, email tools, video providers, social media services, plugins, hosting providers, CAPTCHA providers, or other outside services.
CHBA does not control and is not responsible for the content, availability, terms, privacy practices, or actions of third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.
13. No Legal Advice
The Services are provided for informational, educational, organizational, and administrative purposes only.
CHBA is a bar association, but the Services do not provide legal advice and do not create an attorney-client relationship between you and CHBA, any board member, volunteer, participating attorney, sponsor, or any other person or entity.
No information made available through the Services should be treated as legal advice for any specific matter. You should consult your own attorney regarding legal questions or particular circumstances.
14. No Guarantees Regarding Opportunities, Events, or Outcomes
CHBA does not guarantee:
- acceptance of any membership application, nomination, sponsorship, donation request, or event registration;
- availability of any event, program, scholarship, or opportunity;
- attendance, participation, or outcomes relating to CHBA events or programs;
- employment opportunities, candidate qualifications, or hiring outcomes arising from the job board; or
- uninterrupted, secure, or error-free operation of the Services.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHBA DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
WITHOUT LIMITING THE FOREGOING, CHBA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, COMMUNICATION, OR SUBMISSION WILL BE PRESERVED OR RECEIVED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHBA AND ITS OFFICERS, DIRECTORS, BOARD MEMBERS, COMMITTEE MEMBERS, VOLUNTEERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CHBA AND ITS RELATED PARTIES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CHBA THROUGH THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
NOTHING IN THESE TERMS LIMITS LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
17. Indemnification
You agree to defend, indemnify, and hold harmless CHBA and its officers, directors, board members, committee members, volunteers, employees, agents, and service providers from and against third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of applicable law or the rights of any third party.
18. Suspension and Termination
CHBA may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if CHBA believes you have violated these Terms, applicable law, or the security or integrity of the Services.
Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, disclaimers, limitations of liability, indemnification, and dispute-related provisions.
19. Governing Law and Venue
These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-laws principles.
Any action or proceeding arising out of or relating to the Services or these Terms shall be brought exclusively in the state or federal courts located in Colorado, and each party consents to the personal jurisdiction and venue of those courts.
20. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the “Last Updated” date above.
Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms, to the extent permitted by law.
21. Miscellaneous
These Terms constitute the entire agreement between you and CHBA regarding the Services and supersede prior or contemporaneous understandings regarding the Services.
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
CHBA’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
You may not assign or transfer your rights or obligations under these Terms without CHBA’s prior written consent. CHBA may assign these Terms in connection with a merger, reorganization, transfer of assets, or similar transaction.
